2. Services

Stricent Technologies provides the following services:

• AI Workflow Automation (design, build, and deployment of automated workflows)
• AI Agent Development (custom autonomous AI agents using GPT-4, Claude, LangChain)
• AI Chatbot & WhatsApp Automation (conversational bots for WhatsApp Business and websites)
• Systems & API Integration (connecting business systems, ERP, CRM, databases)
• Custom Website Development (React.js, Next.js, Node.js — no WordPress)
• Mobile App Development (iOS & Android using React Native, Flutter, Swift, Kotlin)

The scope of each engagement is defined in a written proposal or Statement of Work (SOW) agreed between the parties before project commencement.

3. Engagement and Payment

3.1 Proposals: All project engagements begin with a written proposal stating scope, deliverables, timeline, and fee. The proposal becomes binding when signed or accepted by the client via email.

3.2 Payment Terms: Unless otherwise stated in the proposal:

• 50% of the project fee is due upon project commencement
• The remaining 50% is due upon project delivery and acceptance
• Retainer engagements are billed monthly in advance

3.3 Late Payments: Payments overdue by more than 15 days may attract an interest charge of 1.5% per month. Stricent reserves the right to pause work on overdue accounts.

3.4 Taxes: All fees are exclusive of applicable GST (currently 18% for software/IT services in India). GST will be added to invoices where applicable.

4. Intellectual Property

4.1 Client Ownership: Upon receipt of full payment, Stricent assigns all rights, title, and interest in the custom-developed deliverables (code, workflows, designs) to the client. This includes source code for websites, mobile apps, and automation workflows specifically built for the client.

4.2 Stricent IP: Any pre-existing tools, frameworks, libraries, templates, or methodologies developed by Stricent prior to or independently of the engagement remain Stricent's intellectual property. Clients receive a non-exclusive licence to use them as part of their deliverables.

4.3 Third-Party Components: Open-source libraries and third-party APIs integrated into deliverables are governed by their respective licences. Stricent will notify the client of any significant third-party dependencies.

4.4 Portfolio: Unless the client requests confidentiality in writing, Stricent may reference the client's name and project type in our portfolio, case studies, and marketing materials.

5. Client Responsibilities

• Provide timely access to required systems, credentials, and information
• Respond to queries and review deliverables within agreed timelines
• Ensure all content provided to Stricent (text, images, data) does not infringe third-party rights
• Not use Stricent's services for illegal, harmful, or unethical purposes
• Keep access credentials secure and notify Stricent of any breaches

6. Confidentiality

Both parties agree to keep the other party's confidential business information (technical data, client lists, pricing, source code, business plans) strictly confidential and not to disclose it to third parties without prior written consent. This obligation survives termination of the engagement for a period of 3 years.

7. Warranties and Limitation of Liability

7.1 Service Warranty: Stricent warrants that services will be performed with reasonable skill and care. We provide a 30-day bug-fix warranty post-delivery for defects in our own code.

7.2 No Guarantee of Results: While we aim for measurable outcomes, Stricent cannot guarantee specific business results (e.g., revenue increases, cost savings) as these depend on multiple factors outside our control.

7.3 Limitation of Liability: To the maximum extent permitted by applicable law, Stricent's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim in the 3 months preceding the claim.

7.4 Exclusions: Stricent is not liable for indirect, consequential, incidental, or punitive damages, including loss of profits, data loss, or business interruption.

8. Termination

8.1 By Client: The client may terminate a project engagement with 14 days' written notice. The client is responsible for payment of all work completed up to the termination date plus any reasonable costs incurred.

8.2 By Stricent: Stricent may terminate an engagement with 14 days' written notice if the client breaches these Terms and fails to cure the breach within 7 days of written notice.

8.3 Effect of Termination: Upon termination, Stricent will deliver all completed work and the client will pay for work completed. Each party will return or destroy the other's confidential materials.

9. Website Use

You may use stricent.in for lawful purposes only. You must not: attempt to gain unauthorised access to our systems; transmit harmful code or malware; engage in scraping or data mining without written consent; or use the site in any way that violates applicable law.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms or our services shall first be attempted to be resolved amicably. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Bangalore, Karnataka, under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English.

11. Changes to These Terms

Stricent reserves the right to modify these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our website or services after changes constitutes acceptance of the updated Terms. For active project engagements, changes to Terms do not apply retroactively.
